1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Northstar Studio ("we," "us" or "our"), concerning your access to and use of our website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.

2. Professional Services

Northstar Studio provides premium digital design, software development, and strategic consulting services. The specific scope, timeline, and cost of these services are documented in a formal Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties before work commences.

• Change Requests: Any additions to the scope of work will be subject to a separate estimate and approval process.
• Client Responsibilities: The timely delivery of our services depends heavily on the timely provision of feedback, assets, and approvals from the client.

3. Intellectual Property Rights

Unless otherwise indicated in a specific SOW, the final deliverables (including source code, compiled assets, design files, and documentation) are the proprietary property of the client upon receipt of final and full payment. However, Northstar Studio retains ownership of any pre-existing code, libraries, or tools used to create the deliverables, granting the client a perpetual, non-exclusive license to use them within the context of the delivered project.

4. Warranties and Liability

We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee that the software will be completely error-free or uninterrupted.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

5. Governing Law

These Terms shall be governed by and defined following the laws of Ireland. Northstar Studio and yourself irrevocably consent that the courts of Ireland shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
